1. Introduction

Welcome to © Bifröst, a cloud-based PBC (Provided by Client) and onboarding platform designed for audit and accounting firms. These Terms of Use (“Terms”) govern your access to and use of the Service, including any software, applications, and websites provided by us.By creating an account or using the Service, you agree to these Terms. If you do not agree, you must not access or use the Platform.

2. Account Registration and Access

You must provide accurate and complete information when registering an account. Each account is licensed to a specific audit firm or professional user. You are responsible for managing user permissions and ensuring only authorised users access the Service. You must maintain the confidentiality of your login credentials and are responsible for all activities that occur under your account.

3. Use of the Service

You may use the Service solely for lawful purposes and in accordance with these Terms. You agree not to:

  • a)Use the Service to distribute malware, phishing, or illegal content.
  • b)Upload or transmit material that infringes intellectual property rights or privacy laws.
  • c)Attempt to gain unauthorised access to another user’s data or systems.
  • d)Reverse-engineer, decompile, or otherwise attempt to extract source code.
  • e)Circumvent or disable security features of the Platform.

4. Data Ownership and Processing

You (and your clients) retain ownership of all documents, data, and files uploaded to the Platform (“Client Data”).

By uploading data, you grant us a limited licence to host, process, and transmit the data solely for the purpose of providing and improving the Service.

We act as an operator (data processor) in terms of the Protection of Personal Information Act (POPIA).

Your use of the Platform must comply with POPIA and all other applicable laws.

5. Fees and Payments

Subscription fees are charged according to your chosen pricing plan. Fees are billed monthly or annually in advance, unless otherwise agreed. We may adjust pricing with 30 days’ written notice. Failure to pay fees when due may result in suspension or termination of your account.

6. Service Availability and Maintenance

We strive to provide 99% uptime but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance. We are not liable for downtime caused by third-party providers (e.g. hosting, internet, or payment processors).

7. Termination

Either party may terminate these Terms by giving written notice. We may suspend or terminate your access immediately if you breach these Terms or applicable laws, or engage in conduct harmful to the Platform or other users. Upon termination, your data will be retained and accessible for 30 days, after which it may be deleted in accordance with our retention policy.

8. Limitation of Liability

To the maximum extent permitted by law: We are not liable for indirect, incidental, or consequential damages, including loss of profit, data, or business. Our total liability for any claim is limited to the total subscription fees paid by you in the preceding 3 months.

9. Indemnity

You agree to indemnify and hold us harmless from any losses, claims, or damages resulting from your breach of these Terms or misuse of the Platform or any data uploaded by your users or clients.

10. Intellectual Property

The Platform and all related content, code, and designs remain our exclusive property. You may not copy, modify, or create derivative works from our intellectual property without written consent.

11. Confidentiality

Both parties must treat as confidential all non-public information disclosed in connection with the Service. This obligation continues after termination of these Terms.

12. Amendments

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Platform constitutes acceptance of updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising under these Terms will be resolved by arbitration in Cape Town, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
